Terms of Service

Merchant of Record Disclosure : Payments are processed by Lemon Squeezy LLC (a Stripe company), our Merchant of Record. Lemon Squeezy handles billing, tax collection, and invoicing on behalf of Netcube, Inc.

  • 1. Scope, Business Customers Only, Definitions

    These Terms of Service govern the use of npass.io, a cloud-based 802.1X network authentication service provided by Netcube, Inc., #608, 204 Gasan digital 1-ro, Geumcheon-gu, Seoul, Republic of Korea ("Netcube", "we").

    1.1 Business customers only. npass.io is offered exclusively to entrepreneurs (Unternehmer) within the meaning of § 14 BGB — i.e., natural or legal persons or partnerships acting in the exercise of their trade, business, or profession — and to public-sector entities. By registering, you represent and warrant that you are acting as an entrepreneur and not as a consumer (§ 13 BGB). Consumers are not eligible to use the Service; statutory consumer withdrawal rights therefore do not apply.

    1.2 Definitions. "Service": the npass.io platform including all features, functionality, and documentation. "Customer" or "you": the business entity accepting these terms. "Content": data, information, or material you provide or create through the Service. "Confidential Information": non-public information disclosed by either party.

    By accessing or using npass.io, you agree to be bound by these terms. If you do not agree, do not use the Service.

  • 2. Service Description

    npass.io provides cloud-based user authentication for wireless (Wi-Fi) networks using WPA2/3-Enterprise (IEEE 802.1X with PEAP-MSCHAPv2 and service-issued credentials), MAC-based acceptance of non-802.1X devices (MAB) on eligible plans, per-user and per-device VLAN assignment policies, device slot management, audit logging and reporting, and administrator dashboards. The scope of features depends on your subscription plan (see Subscription Terms).

    We may modify or discontinue individual features with 30 days' notice, provided the core functionality of the Service is preserved. Features marked as beta or early access are provided for evaluation and may change without notice.

  • 3. Account Registration and Responsibilities

    3.1 Account creation. You must provide accurate and complete information. You are responsible for maintaining the confidentiality of credentials, notifying us immediately of unauthorized access, all activities under your account, and ensuring the person accepting these terms is authorized to bind your organization.

    3.2 Eligibility. The person creating the account must be at least 18 years old and authorized to act for the Customer.

  • 4. Subscription and Billing

    Billing and payment processing are handled by Lemon Squeezy LLC, our Merchant of Record. Invoices are issued by Lemon Squeezy and available in your account dashboard. For plans, billing cycles, and payment details, see the Subscription Terms.

  • 5. Service Level

    We target 99.9% monthly uptime for the Service, excluding: scheduled maintenance (announced at least 48 hours in advance), events beyond our reasonable control, issues caused by your network or systems, and attacks (e.g., denial of service) despite adequate protective measures.

    If monthly uptime falls below 99.9%, you may request service credits as published in our credit schedule ; Enterprise customers' individual SLAs take precedence.

  • 6. Acceptable Use

    You agree to use npass.io only for lawful purposes and in compliance with applicable law. Prohibited: attempting unauthorized access to the Service or other accounts; reverse engineering or deriving source code except as permitted by mandatory law (e.g., § 69e UrhG); unauthorized automated tools or scripts; introducing malware or conducting denial-of-service attacks; exfiltrating data; infringing others' privacy, intellectual property, or legal rights; spam or abusive conduct.

    We may suspend your account for material violations after prior notice, or immediately where necessary to protect the Service, other customers, or legal interests.

  • 7. Intellectual Property

    You retain all rights to your Content. You grant us a non-exclusive, worldwide, royalty-free license to use your Content solely to provide and improve the Service. All npass.io materials, including software, documentation, and designs, remain the exclusive property of Netcube, Inc. or its licensors.

  • 8. Data Protection

    Personal data processing is governed by our Privacy Policy and, for end-user data processed on your behalf, our Data Processing Agreement.

  • 9. Warranty

    We provide the Service with the quality agreed in these terms and the service description. The statutory warranty provisions of German law apply, subject to the following: (a) strict liability for defects existing at the time of contract conclusion (§ 536a(1) BGB by analogy) is excluded; (b) you must report defects without undue delay in reasonably detailed form; (c) for features marked beta or early access, warranty is limited to intentional misconduct and gross negligence.

    We do not warrant uninterrupted availability beyond the service level in Section 5.

  • 10. Liability

    10.1 Unlimited liability. We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body, or health, under the German Product Liability Act (Produkthaftungsgesetz), in case of fraudulent concealment of defects, and to the extent of any guarantee we have expressly assumed.

    10.2 Slight negligence. In cases of slight negligence, we are liable only for breach of essential contractual obligations (Kardinalpflichten) — obligations whose fulfillment is a prerequisite for proper performance of the contract and on whose observance you regularly rely — and only for the foreseeable damage typical for this type of contract.

    10.3 Cap. In the cases of Section 10.2, our total liability per contract year is limited to the fees you paid for the Service in the 12 months preceding the event giving rise to the claim.

    10.4 Any further liability is excluded. The above also applies in favor of our officers, employees, and agents.

  • 11. Term and Termination

    11.1 Term. These terms apply for as long as you use the Service. Subscription periods are set out in the Subscription Terms.

    11.2 Termination by you. You may cancel your subscription at any time via the dashboard or by contacting support; access ends at the end of the current billing period.

    11.3 Termination by us. We may terminate for good cause, including material breach of these terms not cured within a reasonable period after notice, infringement of intellectual property rights, or payment default continuing 30 days after reminder.

    11.4 Data after termination. Upon termination, end-user data is returned or deleted in accordance with Section 9 of the DPA: at your choice, we return or delete personal data; data not claimed within 30 days of termination is securely deleted after 90 days, unless statutory retention obligations apply.

  • 12. Governing Law and Jurisdiction

    These terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction for all disputes is Berlin, Germany; this jurisdiction clause applies as both parties are merchants or equivalent business entities (§ 38 ZPO).

  • 13. Severability

    If any provision of these terms is invalid or unenforceable, the remaining provisions remain in full force and effect.

  • 14. Changes to These Terms

    We may propose changes to these terms with at least 30 days' written notice (email to the account owner). The notice will highlight the changes and expressly point out your right to object. If you object before the effective date, the changes do not apply to you and either party may terminate the subscription as of the end of the current billing period. If you do not object by the effective date after having been expressly informed of this consequence, the changes become effective.
